Ilyas Company Terms of Service

These Terms of Service ("Terms", "Agreement") govern your access to and use of the Ilyas Company service ("Service", "Product") operated by Ilyas Company ("Company", "we", "us", "our").

If you signed a separate Cover Page to access the Product with the same account, and that agreement has not ended, the terms below do not apply to you. Instead, your separate Cover Page applies to your use of the Product.

This Agreement is between Ilyas Company and the company or person accessing or using the Product. This Agreement consists of: (1) the Order Form below and (2) the Framework Terms defined below.

If you are accessing or using the Product on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company. By signing up, accessing, or using the Product, Customer indicates its acceptance of this Agreement and agrees to be bound by the terms and conditions of this Agreement.

Order Form

Framework Terms: This Order Form incorporates and is governed by the Framework Terms that are made up of the Key Terms below and the Common Paper Cloud Service Agreement Standard Terms Version 2.0, which are incorporated by reference. Any modifications to the Standard Terms made in the Cover Page will control over conflicts with the Standard Terms. Capitalized words have the meanings given in the Cover Page or the Standard Terms.

Cloud Service: a suite featuring an IT technical design and diagramming tool, an AI-powered IT Architect assistant, and an IT enterprise modeling solution.

Order Date: The Effective Date

Subscription Period: 1 month(s)

Cloud Service Fees:Certain parts of the Product have different pricing plans, which are available at Provider’s [pricing page](https://ilyas.ai/pricing). Customer will pay Provider the applicable Fees based on the Product tier and Customer’s usage. Provider may update Product pricing by giving at least 30 days notice to Customer (including by email or notification within the Product), and the change will apply in the next Subscription Period.

Payment Process:Automatic payment: Customer authorizes Provider to bill and charge Customer's payment method on file Monthly for immediate payment or deduction without further approval. All fees are due in advance for each Subscription Period. If payment is not received by the due date, Provider may suspend or terminate Customer's access to the Service.

Refund Policy:Fees are non-refundable except as required by law or as otherwise specified in this Agreement. If Customer cancels their subscription, access will continue until the end of the current Subscription Period, and no refund will be provided for the unused portion.

Non-Renewal Notice Period: At least 30 days before the end of the current Subscription Period.

Key Terms

Customer: The company or person who accesses or uses the Product. If the person accepting this Agreement is doing so on behalf of a company, all use of the word “Customer” in the Agreement will mean that company.

Provider: Ilyas Company

Effective Date: The date Customer first accepts this Agreement.

Governing Law: The laws of the State of Delaware

Chosen Courts: The state or federal courts located in Delaware

Covered Claims:

Provider Covered Claims: Any action, proceeding, or claim that the Cloud Service, when used by Customer according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights.

Customer Covered Claims: Any action, proceeding, or claim that (1) the Customer Content, when used according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights; or (2) results from Customer’s breach or alleged breach of Section 2.1 (Restrictions on Customer).

General Cap Amount:The fees paid or payable by Customer to provider in the 12 month period immediately before the claim

Changes to the Standard Terms

Replace the second sentence of Section 1.4 with: “Customer assigns all right, title, and interest in the Feedback to Provider. Customer will assert no rights over Feedback.”

Additional Terms and Conditions

1. Account Registration and Security

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

2. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or in violation of any laws
Violate or infringe upon the rights of others, including intellectual property rights
Transmit any harmful code, viruses, or malicious software
Attempt to gain unauthorized access to the Service or related systems
Interfere with or disrupt the Service or servers connected to the Service
Use the Service to send spam or unsolicited communications
Reverse engineer, decompile, or disassemble any portion of the Service

3. Intellectual Property

The Service and its original content, features, and functionality are owned by Ilyas Company and are protected. You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

4. Customer Content

You retain ownership of any content you create, upload, or store using the Service ("Customer Content"). By using the Service, you grant us a limited, non-exclusive license to use, store, and process your Customer Content solely for the purpose of providing and improving the Service. You are solely responsible for your Customer Content and represent that you have all necessary rights to grant us this license.

5. Service Availability

We strive to maintain high availability of the Service but do not guarantee that the Service will be available at all times. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue the Service at any time with or without notice.

6. Termination

Either party may terminate this Agreement at any time. Upon termination, your right to use the Service will immediately cease. We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Sections that by their nature should survive termination will survive termination, including ownership provisions, warranty disclaimers, and limitations of liability.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ILYAS COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

9. Indemnification

You agree to defend, indemnify, and hold harmless Ilyas Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your Customer Content, or your violation of these Terms.

10. Dispute Resolution

Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction. The arbitration shall take place in Delaware, and the laws of the State of Delaware shall govern this Agreement.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the modified Terms.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

13. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the Service, shall constitute the entire agreement between you and Ilyas Company concerning the Service.
